Welcome to Clearical. These Terms of Service ("Terms") govern your use of the Clearical desktop application and website at clearical.io (collectively, the "Service") operated by Clearical Technologies ("we," "us," or "our").

By downloading, installing, or using Clearical, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

Clearical is a desktop time-tracking and activity monitoring application that helps users:

• Track time spent on tasks and projects
• Monitor application and window activity during work sessions
• Capture and analyze screenshots (optional)
• Integrate with Jira and Tempo for project management
• Generate AI-powered activity summaries and classifications

2. Account Registration

2.1 Account Creation

To use certain features of Clearical, you must create an account by providing a valid email address. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account credentials
• All activities that occur under your account

2.2 Account Security

You must notify us immediately at support@clearical.io if you suspect unauthorized access to your account.

3. Subscription Plans and Payment

3.1 Free and Paid Plans

Clearical offers:

• Free Plan: Basic time tracking features with limited functionality
• Workplace Plan: Full access to all features, available as monthly or yearly subscription

3.2 Payment Terms

• Paid subscriptions are billed in advance on a recurring basis (monthly or yearly)
• Payment is processed securely through Stripe
• Prices are subject to change with reasonable notice
• All fees are non-refundable except as required by law or as expressly stated in these Terms

3.3 Cancellation

You may cancel your subscription at any time through the customer portal. Upon cancellation:

• You retain access to paid features until the end of your current billing period
• Your account reverts to the Free Plan after the billing period ends
• No refunds are provided for partial billing periods

3.4 Free Trials

We may offer free trials of paid features. At the end of a trial period, you will be charged unless you cancel before the trial ends.

4. Acceptable Use

4.1 Permitted Use

You may use Clearical only for lawful purposes and in accordance with these Terms. You agree to use the Service only to track your own work activities or activities you are authorized to track.

4.2 Prohibited Conduct

You agree not to:

• Use the Service to track or monitor others without their knowledge and consent
• Reverse engineer, decompile, or disassemble the Service
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service in violation of any applicable laws or regulations
• Distribute, sublicense, or resell access to the Service
• Use the Service to transmit malware or malicious code
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated means to access the Service except as expressly permitted

4.3 Workplace Use

If you use Clearical in a workplace setting to track employee activities, you are solely responsible for:

• Obtaining appropriate consent from individuals being tracked
• Complying with all applicable employment and privacy laws
• Informing individuals about what data is collected and how it is used

5. Intellectual Property

5.1 Our Rights

Clearical and its original content, features, and functionality are owned by Clearical Technologies and are protected by international copyright, trademark, and other intellectual property laws.

5.2 Your Rights

You retain all rights to your data, including time entries, screenshots, and activity logs. By using the Service, you grant us a limited license to process your data solely to provide the Service.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

6. Third-Party Integrations

6.1 Jira and Tempo

Clearical allows integration with Atlassian Jira and Tempo. Your use of these integrations is subject to:

• The terms of service of Atlassian and Tempo
• Your organization's policies regarding these tools

6.2 Responsibility for Credentials

You are responsible for:

• The security of API tokens you provide
• Ensuring you have authorization to connect Clearical to your Jira and Tempo accounts
• Any data submitted to Jira or Tempo through Clearical

6.3 Third-Party Services

We are not responsible for the availability, accuracy, or reliability of third-party services. Your use of third-party services is at your own risk.

7. AI Features

7.1 On-Device AI

Clearical includes on-device AI models for activity analysis. These models run locally on your computer.

7.2 Cloud AI (Optional)

If you enable cloud-based AI analysis, your data may be processed by Anthropic's Claude API. You acknowledge that:

• Screenshot data will be transmitted to external servers
• AI-generated content may not always be accurate
• You are responsible for reviewing AI-generated summaries before using them

7.3 No Warranty on AI Output

AI-generated content is provided "as is" without warranty. We do not guarantee the accuracy, completeness, or suitability of AI-generated descriptions or classifications.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

9. Data and Security

9.1 Data Storage

Most of your data is stored locally on your device. We implement encryption and security measures to protect your data, but no method of storage or transmission is 100% secure.

9.2 Backups

You are responsible for maintaining backups of your data. We are not responsible for data loss due to device failure, software errors, or other causes.

9.3 Data Portability

You may export your data at any time using the export features within the application.

10. Disclaimers

10.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

10.3 Third-Party Services

We are not responsible for any third-party services, including Jira, Tempo, Stripe, or AI services.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARICAL TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

11.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

11.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US.

12. Indemnification

You agree to indemnify, defend, and hold harmless Clearical Technologies and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws

13. Termination

13.1 By You

You may stop using the Service at any time. To delete your account, contact support@clearical.io.

13.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Conduct that we believe is harmful to other users or the Service
• Extended periods of inactivity
• Requests by law enforcement

13.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• Your local data remains on your device
• We may delete your account data from our servers

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Notifying you through the application

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts located in Quebec, Canada. You consent to the personal jurisdiction of such courts.

15.3 Informal Resolution

Before filing any formal claim, you agree to contact us at support@clearical.io to attempt to resolve the dispute informally.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clearical Technologies regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 No Agency

Nothing in these Terms creates any agency, partnership, or joint venture relationship between you and Clearical Technologies.
